parteners of the company only but debenture are sold to the
public and employees of the company but they dont take part
in the company decesions

of debt share holders are owners of a company and debenture
holders are creditors of company and share holders having
rights in voting and debenture holders does not have any
voting rights in a company and share holders can pay the
dividend on the base of profit and debentures can pay
intrest which is fixed.
