flip flop is a sequential device that samples its input and
changes its output at time determined by clocking signal....
where as latch is d one that checks its input and changes
its output at any time independent of the clocking signal......

basically both logic is same.
flip flop has tow out puts Q and inverse Q.its doesn't
change out put untill its get in put for set or reset.
latch:when input is high the out put of the latch is
active.when ihput is zero its out does'nt change. it wil
change the out put only when the scond time input is high.

Lets make it more transparent. A Latch is used to hold a
signal even when the input is removed and changes only when
a second input strikes.
On the other hand, a flip flop is a sequencial circuit that
renders an output depending on the input signal and
previous state(D flip flop an exception) after the given
clock pulse.
