any clear provision regards this query. So, It is better to
have provision in Articles of Company to do so.

shadow director is a director on whose instructn nd directn other director acts.. as he has same responsibility nd duties that of othr director.. as he hold major share in co. hence shadow director shuld be counted for the board quorum
