What is different between Vendor and Company person?

AFAIK, a vendor is not on direct pay rolls of the company,
whereas a company person is. The incentives involved thus,
may also vary, as for a vendor what he sells is directly
prportional to his income. Although now with all the
incentive and performance appraisal programs, this aint a
difference big enough.
